1. Parties and scope
This Merchant Software Agreement is between StickerMint LLC ("StickerMint," "we," or "us"), the operator of TheStickerMint, and the business accepting it ("merchant" or "you"). It governs your use of our hosted Sticker Studio, merchant portal, proofing, and print-preparation software (the "Service"). The person accepting confirms that they are authorized to accept for the merchant.
2. Your hosted software license
While your account is authorized to use the Service, we grant you a limited, nonexclusive, nontransferable license to access and use it for your business through its intended interfaces. You may allow your authorized staff and customers to use the features provided for them, including a Studio embedded on your authorized website. You may create, share, download, and use your artwork, proofs, and production outputs through the features available to your account.
This is permission to use a hosted service. It does not transfer ownership of our software or grant a license to its source code. Access and charges remain subject to any separate plan or billing agreement you accept.
3. Ownership of the software
StickerMint LLC and its licensors retain their rights in the Service's original source code, software components, interfaces, original graphics, documentation, and other proprietary materials, together with their modifications and improvements. No ownership of those materials passes to you. Rights not expressly granted are reserved.
This ownership statement does not claim exclusive rights over general ideas, functionality, or material that applicable law does not protect.
4. Restrictions on copying and reuse
Except with our written permission, as expressly allowed by this agreement, or as permitted by applicable law, you must not:
- Copy, modify, distribute, publish, sell, sublicense, or redistribute proprietary source code or software components from the Service.
- Repackage, host, or resell our proprietary software as a separate product, competing platform, or unauthorized white-label service. This restriction does not prevent the authorized customer-facing Studio and merchant branding features we provide.
- Reverse engineer, decompile, or disassemble the proprietary software, or bypass controls that limit access to it.
- Systematically scrape or harvest proprietary code, interface assets, or documentation, including with automated coding tools, to reproduce or redistribute the platform.
- Remove or obscure ownership or license notices from proprietary materials that you are permitted to retain.
These restrictions do not prohibit normal browser operation, accessibility tools, documented integrations, authorized use of your own files and outputs, independent development without copying protected material, or any activity that applicable law permits despite these restrictions. Mandatory rights under applicable law prevail.
5. Your artwork and business data
You and your customers retain your existing ownership and other rights in the artwork, logos, designs, proof content, and business data you submit. You are responsible for having the rights and permissions needed to submit and use them.
You grant StickerMint only the permission necessary to host, copy, process, display, transmit, and deliver that content to provide the Service you request, including your authorized sharing, proofing, production, and support. This agreement does not transfer ownership of that content to StickerMint or authorize unrelated reuse of it.
6. Third-party components
The Service includes third-party and open-source components. Their respective owners retain their rights, and their applicable licenses and notices continue to govern those components. This agreement does not replace, narrow, or revoke any rights those licenses grant you. References to proprietary software exclude third-party material to the extent governed by its own license.
7. Acceptance and other agreements
This version applies when you expressly accept it for your merchant account. Publishing it or adding a notice to a file does not record acceptance for an existing merchant. StickerMint records the accepting account, agreement version, document hash, and time of acceptance.
Account setup consent, payment authorizations, and any separate written agreement remain separate. This agreement adds no payment authorization and does not replace separate terms governing billing or data processing.
